Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of RSVPHub and related websites, applications, dashboards, features, communications, and services (the "Services") operated by Space Tech, S.A., RUC 155727383-2-2022 DV 33, with registered address at Avenida Centenario, Plaza Super 99, Piso 3, Oficina 9, Panama, Costa del Este, Republic of Panama ("Space Tech", "we", "us", or "our").

By accessing or using the Services, creating an account, purchasing a plan, creating an event, responding to an invitation, or otherwise using RSVPHub, you agree to these Terms. If you use the Services on behalf of a company, event organizer, client, or other entity, you represent that you have authority to bind that entity.

1. Nature of the Services

RSVPHub provides digital tools for event microsites, invitations, RSVP management, registration, guest lists, confirmations, communications, check-ins, dashboards, forms, reports, and related workflows. Features may depend on your plan, configuration, region, integrations, and account permissions. Space Tech is a technology provider. Unless expressly stated in writing, we are not the organizer, host, venue, ticket seller, travel provider, payment guarantor, or insurer of events created by customers or users.

2. Restricted Jurisdictions

Because of applicable sanctions, export-control, and legal-compliance obligations, the Services are not offered to and may not be accessed or used by any person or entity that is located in, ordinarily resident in, a national of, or organized under the laws of any of the following jurisdictions: Afghanistan, Belarus, Central African Republic, Cuba, Democratic Republic of the Congo, Ethiopia, Iran, Iraq, Lebanon, Libya, Mali, Myanmar (Burma), Nicaragua, North Korea, Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, and Yemen (each a "Restricted Jurisdiction"), together with any territory or region that is subject to comprehensive sanctions or embargoes.

If you are located in, resident in, a national of, or otherwise connected with a Restricted Jurisdiction, you must refrain from registering for, purchasing, accessing, or using the Services. By using the Services you represent and warrant that you are not located in, resident in, or a national of a Restricted Jurisdiction and that you are not a person or entity with whom dealings are restricted under applicable sanctions programs. We may block, suspend, or terminate any access we reasonably believe originates from or is connected with a Restricted Jurisdiction, without liability and without prior notice.

3. Eligibility

You must be at least the age of legal majority in your jurisdiction, or have valid authorization from a parent, guardian, employer, organization, or authorized representative, to use the Services. You may not use the Services if prohibited by applicable law or if we have suspended or terminated your access.

4. Accounts and credentials

You are responsible for the accuracy of information provided to us and for maintaining the confidentiality of your login credentials and second-factor devices. Where we offer stronger authentication — such as one-time passcodes, authenticator-app (TOTP) codes, or device passkeys (WebAuthn) — you are responsible for enrolling and safeguarding those factors and any recovery material we issue to you. You are responsible for all activity under your account unless caused by our breach of these Terms or applicable law. You must notify us promptly of unauthorized access or suspected security incidents involving your account.

5. Customer and organizer responsibilities

If you create, manage, or administer events through RSVPHub, you are responsible for ensuring that event information is accurate, lawful, and not misleading; obtaining any consents, permissions, or legal bases required to upload, import, message, or process guest or attendee data; complying with privacy, consumer protection, marketing, anti-spam, event, tax, accessibility, venue, ticketing, payment, and other applicable laws; respecting attendee rights; configuring event pages, forms, messages, cancellation terms, refund terms, and access permissions appropriately; and ensuring that your team members, contractors, and administrators use the Services lawfully and securely.

6. Guest and attendee responsibilities

If you respond to an invitation, register for an event, submit a form, or otherwise interact with an event through RSVPHub, you agree to provide accurate information and use the Services lawfully. Your relationship with the event organizer may be governed by the organizer's own terms, notices, event rules, cancellation policies, refund policies, and privacy practices.

7. Acceptable use

You must not use the Services to violate any law, regulation, court order, or third-party right; send spam, unlawful marketing, deceptive messages, phishing, malware, or harmful code; upload unlawful, defamatory, discriminatory, hateful, violent, abusive, obscene, infringing, or misleading content; impersonate another person; interfere with, disrupt, reverse engineer, overload, scrape, crawl, copy, or compromise the Services; attempt unauthorized access; circumvent authentication, rate limits, or geographic restrictions; collect or process sensitive data without lawful basis and safeguards; or use the Services for high-risk activities where failure could lead to death, personal injury, severe damage, or emergency reliance without our express written agreement.

8. Content and data submitted to the Services

You retain ownership of content and data you submit to the Services. You grant Space Tech a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and use such content and data as necessary to provide, secure, support, improve, and operate the Services and as otherwise permitted by law and our Privacy Policy. You represent that you have the rights and permissions necessary to submit content and data to the Services.

9. Intellectual property

The Services, software, interfaces, workflows, designs, trademarks, logos, documentation, templates, databases, and related technology are owned by Space Tech or its licensors and are protected by intellectual property laws. Except as expressly allowed, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services. Feedback you provide may be used by us without restriction or compensation, provided we do not disclose your confidential information in violation of applicable obligations.

10. AI-generated content

The Services may use artificial-intelligence tools to help generate event microsites, text, images, and related materials from prompts or inputs you provide. AI output can be inaccurate, incomplete, or unexpected; you are responsible for reviewing generated material before you publish or rely on it, and for ensuring it is lawful and does not infringe third-party rights. You must not submit inputs you are not entitled to use.

11. Fees, subscriptions, and taxes

Fees, billing cycles, plan limits, renewal terms, and taxes will be shown at purchase, in an order form, invoice, subscription page, or written agreement. Unless otherwise stated, fees are due in advance and are payable in the currency displayed. You authorize us and our payment providers to charge the payment method provided for applicable fees, renewals, taxes, and permitted charges. You are responsible for maintaining current billing information.

12. Third-party services and integrations

The Services may connect with third-party providers, such as payment processors, email providers, SMS or messaging services, analytics tools, hosting and cloud-storage services, maps, calendars, CRM systems, identity-verification providers, or social platforms. Third-party services are governed by their own terms and policies. We are not responsible for third-party services, outages, acts, omissions, or changes.

13. Identity verification for payment-enabled features

Where you enable or use features that allow funds to be requested, collected, routed, recorded, or facilitated through your RSVPHub site, including donations, ticket sales, store purchases, payment buttons, payment links, or similar payment-enabled features, we may require identity verification, business verification, beneficial owner verification, or other risk-review information as a condition of enabling, continuing, increasing limits for, or restoring those features.

RSVPHub is a software platform. Unless expressly stated otherwise in writing, we do not act as the seller, donor recipient, fundraiser, escrow agent, payment processor, money transmitter, custodian of funds, or merchant of record for your transactions. Payments are processed by third-party payment providers selected or configured for your site, such as Yappy or other supported payment services, and funds are paid according to the terms, rules, controls, and account relationship between you, your payers, and the applicable payment provider.

You are responsible for obtaining and maintaining your own payment-provider accounts, credentials, API access, banking approvals, tax registrations, permits, refund processes, customer-service processes, and any legal authority required to receive donations, sell products, sell tickets, or collect funds through your RSVPHub site. You must not use payment-enabled features for fraud, misleading fundraising, prohibited goods or services, unlawful activity, money laundering, sanctions evasion, terrorist financing, political misuse, impersonation, or any activity that creates legal, reputational, security, chargeback, fraud, or platform risk.

For donation features, we may apply default transaction and campaign limits, including a minimum donation amount of USD 1.00, a maximum donation amount of USD 150.00 per transaction, and a maximum donation amount of USD 2,500.00 per campaign, event, recipient, or account unless we approve a different limit in writing. Store, ticketing, and other commerce features may not have the same default donation limits, but they remain subject to identity verification, risk review, payment-provider restrictions, fraud controls, category restrictions, and any limits we apply based on your use case, volume, complaint history, legal status, or risk indicators.

We may require verification before activation, after activation, on a recurring basis, when limits are increased, when account information changes, when ownership or control changes, when unusual activity appears, when a payment provider, bank, authority, or third party raises a concern, or when we otherwise determine that verification or review is appropriate. We may also require supporting information, such as proof of identity, business registration, proof of address, proof of authorization to represent an organization, beneficial-owner information, payment-account ownership evidence, campaign purpose, refund policy, event details, product details, or documentation supporting a donation or fundraising campaign.

Until verification or risk review is completed and approved, we may decline to enable payment-enabled features, disable or hide payment buttons, suspend donation, ticketing, or store modules, reduce limits, block configuration changes, restrict access to payment settings, remove payment links from public pages, require additional disclosures, or suspend the affected site or account. Because RSVPHub does not hold your transaction funds, we do not release, withhold, or control payouts; however, third-party payment providers may delay, block, reverse, freeze, review, or refuse transactions under their own terms, compliance rules, fraud controls, or legal obligations.

Verification may be performed through a third-party identity-verification provider, including Didit, and may involve identity-document checks, liveness checks, face matching, proof-of-address review, business verification, beneficial-owner verification, sanctions or watchlist screening, fraud signals, device or network signals, manual review, repeat checks, or resubmission requests. Verification is subject to our Privacy Policy, any verification notices we provide, and the applicable terms and privacy notices of the verification provider.

We may store and process payment-related configuration and transaction metadata, including payment-provider configuration, transaction references, amounts, status, timestamps, payer-provided information, donation or purchase logs, fraud signals, IP address, device or browser information, and audit records, as needed to operate the platform, provide support, maintain ledgers, investigate abuse, comply with legal obligations, resolve disputes, and protect RSVPHub, our users, payers, payment providers, and the public.

Failure to complete verification, providing false or misleading information, using another person's documents or payment account without authorization, refusing reasonable review requests, exceeding applicable limits, or creating unacceptable legal, compliance, fraud, reputational, or platform risk may result in suspension or termination of payment-enabled features, the affected site, or your RSVPHub account, without liability to RSVPHub.

14. Service availability and changes

We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, or permanently available access. We may modify, suspend, discontinue, restrict, or update features for operational, security, legal, commercial, or technical reasons. We may perform maintenance and may use reasonable efforts to provide notice where practical.

15. Beta, test, or experimental features

We may offer beta, test, pilot, preview, or experimental features. They may be incomplete, unstable, modified, or discontinued at any time. They are provided as-is unless we expressly agree otherwise.

16. Privacy and data protection

Our Privacy Policy explains how we process personal data. If you are a customer or organizer and we process personal data on your behalf, additional data processing terms may apply. You must not use the Services in a way that causes Space Tech to violate applicable data protection law.

17. Confidentiality

If either party receives non-public information that should reasonably be understood as confidential, the receiving party must use reasonable care to protect it and use it only for the purpose for which it was provided, unless disclosure is required by law or authorized by the disclosing party.

18. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and error-free operation. We do not warrant that event information created by users is accurate, that attendees will appear, that messages will be delivered in every case, that third-party services will work without interruption, or that the Services will meet every business requirement.

19. Limitation of liability

To the maximum extent permitted by law, Space Tech and its directors, officers, employees, contractors, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, revenue, business opportunity, or anticipated savings. To the maximum extent permitted by law, our total liability arising out of or related to the Services or these Terms will not exceed the greater of the amount paid by you to Space Tech for the Services giving rise to the claim during the three months before the event giving rise to liability, or USD 100. This limitation does not apply where prohibited by law or to liability that cannot legally be limited.

20. Indemnity

You agree to defend, indemnify, and hold harmless Space Tech and its directors, officers, employees, contractors, agents, affiliates, and licensors from claims, losses, damages, liabilities, penalties, costs, and expenses arising from your content, events, guest data, misuse of the Services, breach of these Terms, violation of law, or infringement of third-party rights.

21. Suspension and termination

We may suspend or terminate access to the Services if we reasonably believe that you violated these Terms, created security or legal risk, failed to pay fees, used the Services abusively, or caused harm to us, users, guests, third parties, or the Services. You may stop using the Services at any time. Termination does not affect accrued fees, legal rights, or provisions that by nature should survive.

22. Lawful access, legal requests, and audit

Space Tech operates in and under the laws of the Republic of Panama and cooperates with valid, legally binding requests from competent courts, prosecutors, regulators, tax authorities, and law-enforcement or other public authorities, whether Panamanian or — through applicable mutual-assistance and cross-border legal channels — foreign. Where we receive a request we reasonably believe to be valid and binding, we may disclose data and/or provide supervised audit or investigative access to relevant records and account activity, and we may be legally required to do so without prior notice to you.

You acknowledge and agree that Space Tech does not undertake, and you should not expect, that we will contest, challenge, litigate, or otherwise resist a request that appears lawful and binding on us. Our role is to verify that a request is facially valid and to respond within the limits of applicable law. This Section is explained further in our Privacy Policy. Requests from law-enforcement or public authorities must be submitted in writing to our external counsel, ARCA Business Lawyers (Attn: Justin Cabrera, Calle 50 con Calle 53E, Edificio PH Plaza 2000, Piso 20, Panama City), with a courtesy copy to legal@rsvphub.me.

23. Cancellations and refunds

Cancellations and refunds are governed by our Refund Policy and any specific written agreement, order form, plan terms, or mandatory consumer protection law that applies.

24. Consumer rights and mandatory laws

Nothing in these Terms limits rights that cannot be waived under applicable consumer protection, data protection, e-commerce, or other mandatory laws. If a provision is unenforceable in a particular jurisdiction, it will be interpreted to the maximum extent permitted, and the rest of the Terms will remain in effect.

25. Governing law and disputes

These Terms, and all claims, disputes, and legal matters arising out of or relating to the Services, are governed by and shall be resolved in accordance with the laws and customs of the Republic of Panama, without regard to conflict-of-law rules, unless mandatory law requires otherwise. The courts located in the Republic of Panama will have jurisdiction, unless applicable mandatory law grants you the right to bring claims in another forum. Before filing a claim, the parties agree to attempt in good faith to resolve disputes by contacting legal@rsvphub.me, except where urgent injunctive relief, regulatory complaints, chargebacks, or mandatory rights apply. Requests from law-enforcement or public authorities must be submitted in writing to our external counsel, ARCA Business Lawyers (Attn: Justin Cabrera, Calle 50 con Calle 53E, Edificio PH Plaza 2000, Piso 20, Panama City), with a courtesy copy to legal@rsvphub.me.

26. Changes to these Terms

We may update these Terms from time to time. The updated version will indicate its effective date. If changes are material, we may provide notice through the Services or by email. Continued use of the Services after the effective date means you accept the updated Terms, to the extent permitted by law.

27. Language and interpretation

These Terms may be provided in several languages. For a Panamanian company, the Spanish version may be designated as the governing version unless mandatory law requires otherwise. Translations are provided for convenience and accessibility.
